Heartland Payment Systems, Inc. was incorporated in Delaware in June 2000. The Company's main business is to provide bank card payment processing services to merchants in the United States and Canada. This involves facilitating the exchange of information and funds between merchants and cardholders' financial institutions, providing end-to-end electronic payment processing services to merchants, including merchant set-up and training, transaction authorization and electronic draft capture, clearing and settlement, merchant accounting, merchant assistance and support and risk management. The Company's merchant customers mainly fall into two categories: its core small and mid-sized merchants and national merchants, mainly in the petroleum industry. The Company also provides additional services to its merchants, such as payroll processing, gift and loyalty programs, paper check processing, and it sells and rents point-of-sale devices and supplies. At December 31, 2012, the Company provided its bank card payment processing services to approximately 169,994 active SME bank card merchants located across the United States. The Processing System Intrusion involved malicious software that appears to have been used to collect in-transit, unencrypted payment card data while it was being processed by Heartland during the transaction authorization process. The Company's bank card processing revenue is recurring in nature. It typically enter into three-year service contracts with its SME merchants that, in order to qualify for the agreed-upon pricing, require the achievement of agreed bank card processing volume minimums from its merchants. The Company's SME gross bank card processing revenue is driven by Visa and MasterCard volume processed by merchants with whom it has processing contracts; as such, it also generally benefit from consumers' increasing use of bank cards in place of cash and checks, and sales growth experienced by its retained bank card merchants. Most of the Company's SME revenue is from gross processing fees, which are mainly a combination of a percentage of the dollar amount of each Visa and MasterCard transaction it process plus a flat fee per transaction. The Company makes mandatory payments of interchange fees to card issuing banks through Visa and MasterCard and dues and assessment fees to Visa and MasterCard, and it retains the remainder of the revenue. The Company's bank card processing revenue from its national merchants is also recurring in nature. In contrast to SME merchants, its processing revenues from national merchants generally consist of a flat fee per transaction and thus are driven mainly by the number of transactions it process, not bank card processing volume. Other products and services which the Company offers are Payroll Processing Services, Micropayment, Heartland School Solution, Heartland Marketing Solutions and Campus Solutions.
