Host Hotels & Resorts, Inc. is a Maryland corporation that operates as a self-managed and self-administered real estate investment trust, or REIT. Host Hotels & Resorts, Inc. owns properties and conducts operations through Host Hotels & Resorts, L.P., a Delaware limited partnership, of which Host Hotels & Resorts, Inc. is the sole general partner and in which it holds approximately 98.5% of the partnership interests. The Company's hotels are operated under brand names that are among the most respected and recognized in the lodging industry. The lodging industry in the United States consists of private and public entities that operate in an extremely diversified market under a variety of brand names. The lodging industry has several key participants: Owners; Owner/Managers; Franchisors; Franchisor/Manager and Manager. The hotel manager is responsible for the day-to-day operation of the hotels, including the employment of hotel staff, the determination of room rates, the development of sales and marketing plans, the preparation of operating and capital expenditure budgets and the preparation of financial reports for the owner. The Company industry is influenced by the cyclical relationship between the supply of and demand for hotel rooms. Competition is often specific to individual markets and is based on a number of factors, including location, brand, guest facilities and amenities, level of service, room rates and the quality of accommodations. It also competes with other REITs and other public and private investors for the acquisition of new properties and investment opportunities, both domestically and internationally. Most of its hotels operate in urban and resort markets under such brand names as Ritz-Carlton(r), Fairmont(r), Four Seasons(r), The Luxury Collection(r), St. Regis(r) and W(r), or as upper-upscale properties, under such brand names as Marriott(r), Hyatt(r), Westin(r), Hilton(r), Sheraton(r), Swissotel(r) and Delta(r). The Company's hotels are subject to various other forms of regulation, including Title III of the Americans with Disabilities Act, building codes and regulations pertaining to fire and life safety.
