International Shipholding Corporation was originally founded as Central Gulf Steamship Corporation in 1947. Central Gulf was privately held until 1971 when it merged with Trans Union Corporation (Trans Union). In 1978, International Shipholding Corporation was formed to act as a holding company for Central Gulf, LCI, and certain other affiliated companies in connection with the 1979 spin-off by Trans Union of its common stock to Trans Union's stockholders. In 1986, it acquired the assets of Forest Lines, and in 1989, it acquired Waterman. Since its spin-off from Trans Union, it has continued to act solely as a holding company. The Company operates a diversified fleet of U.S. and International Flag vessels that provide international and domestic maritime transportation services to commercial and governmental customers mainly under medium to long-term contracts or contracts of affreightment. It has five operating segments: Jones Act, Pure Car Truck Carriers, Dry Bulk Carriers, Rail-Ferry, Specialty Contracts and Other. Under its Jones Act segment, the company deploy (i) two bulk carriers, two integrated tug-barge units, each consisting of one tug and one barge, and one harbor tug acquired in the UOS acquisition, (ii) one conveyor belt-equipped, self-unloading Coal Carrier to transport coal under a time charter, which was previously part of its Time Charter Contracts - U.S. Flag segment, and (iii) one vessel that transports molten sulphur under a contract of affreightment. Under its Pure Car Truck Carriers segment, it deploys seven Pure Car/Truck Carriers ("PCTC's"). These vessels transport all types of vehicles, from completed passenger cars to construction machinery and equipment, allowing for the efficient loading of large numbers of vehicles on multilayered decks. It Dry Bulk vessels carry a variety of unpackaged goods, including iron ore, coal, grain, fertilizer, agricultural products, steel, chemical and forest products. The Company's Rail-Ferry segment uses its two Roll-on/Roll-off Special Purpose double-deck vessels, which carry loaded rail cars between the U.S. Gulf Coast and Mexico in a regularly scheduled service. Its Specialty Contracts segment is comprised of vessels not otherwise described above; operating under unique contracts and constitutes the remainder of its former Time Charter Contracts - U.S. Flag and Time Charter Contracts - International Flag segments. Its other segment consists of operations that include ship and cargo charter brokerage and agency services provided to unaffiliated companies and its operating companies, and other specialized services provided to its operating subsidiaries. As of December 31, 2012, its fleet consisted of 50 vessels, four of which were delivered in early 2013, and 20 of which are 100% owned directly through its wholly-owned subsidiaries.
