ITEX Corporation operates a marketplace in which products and services are exchanged by marketplace members utilizing virtual currency. It administer the marketplace and provides record-keeping and payment transaction processing services for its members.

ITEX Corp was incorporated in October 1985 in the State of Nevada. ITEX, The Membership Trading Community(SM), is a marketplace for cashless business transactions across North America. Through its independent licensed broker and franchise network, corporate and corporate owned offices in the United States and Canada, it operates an exchange for cashless business transactions where products and services are exchanged for currency only usable in the Marketplace (ITEX dollars). The Company's business services and payment systems enable member businesses to trade goods and services without exchanging cash. These products and services are instead exchanged for ITEX dollars which could only be redeemed in the Marketplace. It administers the Marketplace and act as a third-party record-keeper for its members' transactions. The Company expanded its investment in information technology personnel and network infrastructure in support of its new subscription-based service offerings. The Marketplace provides a forum for its members to purchase from and sells its products and services to other members using ITEX dollars instead of USD. An ITEX dollar is an accounting unit used to record the value of transactions as determined by the members in the Marketplace. It assists members in marketing products and services through Broker Network, newsletters, e-mail and through other promotional means. Brokers are independent contractors with respect to the Company. Combined, its corporate staff, Brokers and its staff, and outside contractors total more than 320 individuals supporting the Marketplace. Its main sources of revenue are transaction and association fees. The Company's goal is to expand its market share of the cashless transaction industry, mainly in North America. The Company could successfully increase the number of members participating in its Marketplace and revenues if it provides members. The Marketplace is handled by TEAM, its internally developed, proprietary, online system that is based on Microsoft technologies. It designed team to facilitate the activities of all parties involved in the Marketplace, from its corporate management and accounting personnel to Brokers and Marketplace members. The Company has two main competitors: Exchanges and internet distribution channels. Along with its Brokers, it is subject to federal, state and local laws, regulations and administrative practices affecting its businesses.
