Kellogg Company, a Delaware was incorporated in 1922. The Company and its subsidiaries are engaged in manufacturing and marketing of ready-to-eat cereal and convenience foods. The main products of the Company are ready-to-eat cereals and convenience foods, such as cookies, crackers, toaster pastries, cereal bars, fruit snacks, frozen waffles and veggie foods. These products were, as of February 26, 2013, manufactured by the company in 18 countries and marketed in more than 180 countries. The Company's cereal products are generally marketed under the Kellogg's name and are sold mainly to the grocery trade through direct sales forces for resale to consumers. It uses brokers and distribution arrangements for certain products. Its products are manufactured and marketed globally. It also markets cookies, crackers, and other convenience foods, under brands such as Kellogg's, Keebler, Cheez-It, Murray, Austin and Famous Amos, to supermarkets in the United States through a direct store-door (DSD) delivery system. The main ingredients in the products produced by the Company in the United States include corn grits, wheat and wheat derivatives, oats, rice, cocoa and chocolate, soybeans and soybean derivatives, various fruits, sweeteners, flour, vegetable oils, dairy products, eggs, and other filling ingredients, which are obtained from various sources. The main customer of the Company is Wal-Mart Stores, Inc. and its affiliates. The Company is subject to various legal proceedings, claims, and governmental inspections or investigations in the ordinary course of business covering matters such as general commercial, governmental regulations, antitrust and trade regulations, product liability, environmental, intellectual property, workers' compensation, employment and other actions.
