Business Description

Kilroy Realty Corporation was incorporated in the state of Maryland on September 13, 1996 and Kilroy Realty, L.P. was organized in the state of Delaware on October 2, 1996. The Company operates as a self-administered real estate investment trust, which owns, operates, develops and acquires office and industrial real estate located in Southern California. As of December 31, 2011, its portfolio of operating properties was comprised of 104 office buildings and 39 industrial buildings, which encompassed an aggregate of approximately 14,834,466 rentable square feet, respectively. It owns its interests in all of its Office Properties and Industrial Properties through the Operating Partnership and Kilroy Realty Finance Partnership, L.P. It conducts substantially all of its operations through the Operating Partnership of which as of December 31, 2011, it owned a 97.2% general partnership interest. The remaining 2.8% common limited partnership interest in the Operating Partnership as of December 31, 2011 was owned by non-affiliated investors and certain of its directors and officers. Kilroy Realty Finance, Inc., a wholly-owned subsidiary of the Company, is the sole general partner of the Finance Partnership and owns a 1.0% general partnership interest. The Operating Partnership owns the remaining 99.0% limited partnership interest. The Company competes with several developers, owners and operators of office, industrial and other commercial real estate, many of which own properties similar to it in the same submarkets in which its properties are located. The Company is subject to governmental regulations that might affect the development, redevelopment and use of its properties.
