Business Description

Loews Corporation was incorporated in 1967 and is an insurance holding company. The Company is engaged in the following lines of business: commercial property and casualty insurance; operation of offshore oil and gas drilling rigs; exploration, production and marketing of natural gas and natural gas liquids; operation of interstate natural gas pipeline systems; and the operation of hotels. Its subsidiaries are CNA Financial Corporation; Diamond Offshore Drilling, Inc.; HighMount Exploration & Production LLC; Boardwalk Pipeline Partners, LP; and Loews Hotels Holding Corporation. CNA Financial Corporation is an insurance holding company whose property and casualty insurance operations are conducted by Continental Casualty Company and The Continental Insurance Company and its affiliates. CNA's core businesses serves a variety of customers, including small, medium and large businesses, associations, professionals and groups with a range of insurance and risk management products and services. Diamond Offshore Drilling, Inc. is engaged, through its subsidiaries, in the business of owning and operating drilling rigs that are used in the drilling of offshore oil and gas wells on a contract basis for companies engaged in exploration and production of hydrocarbons. It owns 49 offshore rigs. It also owns and operates 32 semisubmersible rigs, consisting of 13 high specification and 19 intermediate rigs. HighMount is engaged in the exploration, production and marketing of natural gas, predominantly ethane and propane and, to a small extent, oil, mainly in the Permian Basin in Texas, the Antrim Shale in Michigan and the Black Warrior Basin in Alabama. It holds interests in developed and undeveloped acreage, wellbores and well facilities, which generally take the form of working interests in leases that have varying terms. HighMount also owns or has interests in gathering systems which transport natural gas and NGLs, mainly from its producing wells, to processing plants and pipelines owned by third parties. Boardwalk Pipeline Partners, LP is engaged in the interstate transportation and storage of natural gas. CNA competes with a number of stock and mutual insurance companies and other entities for both distributors and customers. HighMount competes with other oil and gas companies in all aspects of its business, including acquisition of producing properties and leases and obtaining goods, services and labor, including drilling rigs and well completion services. Boardwalk Pipeline competes with other interstate and intrastate pipelines in the transportation and storage of natural gas. Competition from other hotels and lodging facilities is vigorous in all areas in which Loews Hotels operates. The insurance industry is subject to comprehensive and detailed regulation and supervision throughout the United States.
