Lime Energy Co designs and implements energy efficiency programs enabling utility clients to reach their underserved markets and achieve their energy reduction goals. Its programs help businesses use less energy through upgrade of existing equipment.

Lime Energy Co. was formed on December 5, 1997 as Electric City LLC. It is a provider of integrated energy engineering, consulting and implementation solutions specializing in improving the energy efficiency of its clients' facilities, thereby reducing their operating costs and carbon emissions. Its energy efficiency programs operate within the utility sector and its clients include two of the five largest investor-owned utilities in the country. The Company focuses on deploying direct install energy efficiency solutions for small and mid-size commercial and industrial business programs that improve energy efficiency, reduce energy-related expenditures and lessen the impact of energy use on the environment. Currently, these solutions include energy efficient lighting upgrades and energy efficient mechanical upgrades. The Company's operations are comprised of two distinct segments: The Energy Efficiency Services segment; and the Renewable Energy segment. The Energy Efficiency Services segment includes the Utility Program Management business. The services of this segment include program design, program management, marketing & customer recruitment, auditing and installation of energy conservation measures for small business customers of utilities or public utility commissions. The Renewable Energy segment includes the operations of GES-Port Charlotte, which operates the Zemel Road landfill-gas electric generating facility located in Punta Gorda, Florida. The Company's customers include utilities and its small business customers and the Army Corp. of Engineers. The Company faces strong competition from other providers of energy efficiency solutions, local electrical and mechanical contractors and engineering firms, lighting and lighting fixture manufacturers and lighting fixture distributors. As a Delaware corporation, the Company is subject to certain Delaware anti-takeover provisions, including the application of Section 203 of the Delaware General Corporation Law.
