Local Corp is incorporated in Delaware in March 1999 as eWorld Commerce Corporation. In August 1999, it changed its name to eLiberation.com Corporation. In February 2003, it changed name to Interchange Corporation. On November 2, 2006, it changed its name to Local.com Corporation. On September 14, 2012 it changed tis name to Local Corporation. It currently operates under the names Local.com and Spreebird, which are registered tradenames of the Company. The Company provides search results to consumers who are searching online for goods and services from local businesses. Its search results consist mainly of local business listings that the Company aggregate, index and syndicate using its sophisticated technology platform. It provides search results to Local.com website and other proprietary websites ('Owned and Operated' or 'O&O') and to a network of approximately 1,200 other websites that rely on its search syndication services to provide local search results to their own users. It generates revenue from ad units placed alongside the search results, which include pay-per-click, pay-per-call, and display (banner) ad units. It also provides ad products for small and medium sized businesses, daily deals to its email subscribers and product search services to third-parties. The Company's products include its Local.com website, which reaches approximately 20 million monthly unique visitors; its search syndication services, which provide either hosted business or product directories as well as XML feed solutions to a network of over 1,200 other websites, which reach approximately 12 million MUVs; its SMB solutions, which provides approximately 10,000 SMBs with various subscription ad products which the Company sells via its channel partners or directly to small businesses; and its Spreebird daily deals service, which provides over 200,000 email subscribers with daily deals in the southern California market. The Company manages its products and services in two main divisions: Consumer Properties and Business Solutions. The Consumer Properties division consists of its O&O business, Network and Spreebird business. The Business Solutions division manages the development and sale of SMB products. The Company competes with major search engines including Google, Inc., Yahoo!, Inc., and Microsoft Corporation's Bing.
