Live Nation Entertainment, Inc. was incorporated in Delaware in August 2, 2005 in preparation for the contribution and transfer by Clear Channel of substantially all of its entertainment assets and liabilities to it. The Company completed the separation on December 21, 2005, and became a publicly traded company on the New York Stock Exchange trading under the symbol "LYV." On January 25, 2010, it merged with Ticketmaster. Effective on the date of the Merger, Ticketmaster became a wholly-owned subsidiary of Live Nation and Live Nation, Inc. changed its name to Live Nation Entertainment, Inc. The Company is a producer of live music concerts connecting nearly 49 million fans to 22,000 events for over 2,300 artists in 2012. The Company owns, operates, has booking rights for and has an equity interest in 139 venues, including House of Blues music venues and prestigious locations such as The Fillmore in San Francisco, the Hollywood Palladium, the Ziggo Dome in Amsterdam and the O2 Dublin. It is a live entertainment ticketing sales and marketing company. Ticketmaster provides ticket sales, ticket resale services, and marketing and distribution globally through www.ticketmaster.com and www.livenation.com, numerous retail outlets and call centers. Established in 1976, Ticketmaster serves clients across multiple event categories, providing ticketing services for leading arenas, stadiums, professional sports franchises and leagues, college sports teams, performing arts venues, museums and theaters. It is an artist management company. Front Line and its affiliates manage musical artists and acts primarily in the rock, classic rock, pop and country music genres. As of December 31, 2012, Front Line and its affiliates had approximately 230 artists on its rosters and over 70 managers providing services to these artists. The Company operates in five main industries within the live entertainment business, including live music events, venue operations, ticketing services, sponsorship and advertising sales and artist management and services. Its reportable segments are Concerts, Ticketing, Artist Nation and Sponsorship & Advertising. Competition in the live entertainment industry is intense. Its main competitors at the local market level for sponsorships and advertising dollars include local sports teams, which often offer state of the art venues and strong local media packages. Additionally, its competitors locally can include festivals, theme parks and other local events. On the national level, its competitors include the major sports leagues that all sell sponsorships combined with significant national media packages. The Company is subject to federal, state and local laws, both domestically and internationally.
