MicroFinancial Inc was formed as a Massachusetts corporation on January 27, 1987. The Company operates mainly through its wholly-owned subsidiaries: TimePayment Corp. and Leasecomm Corporation. TimePayment is a commercial or consumer finance company that leases and rents equipment and provides other financing services. Leasecomm originated leases from January 1986 through October 2002 and continues to service its remaining contract portfolio. The Company provides financing alternatives to lessees from start-up businesses to established enterprises. It mainly leases and rents low-priced commercial equipment, which is used by these lessees in their daily operations. It does not market its services directly to lessees. The Company mainly sources its originations through network of independent equipment vendors, independent sales organizations, brokers and other dealer-based origination networks. The Company originates leases for products that have limited distribution channels and are costly to sell. The Company facilitates sales of such products by allowing dealers to make them available to their customers for a small monthly lease payment rather than a higher initial purchase price. It primarily leases and rent low-priced commercial equipment to small merchants. The Company leases equipment including, but not limited to, water filtration systems, food service equipment, security equipment, point of sale cash registers, salon equipment, health care and fitness equipment and automotive equipment. The Company provides financing to obligors under microticket leases and contracts through a network of equipment vendors, independent sales organizations and brokers. The Company competes for customers with a number of national, regional and local banks and finance companies. Its competitors also include equipment manufacturers that lease or finance the sale of their own products.
