MFC Industrial Ltd was incorporated under the laws of the Province of British Columbia, Canada on June 1951. The Company is a commodities supply chain company, which sources and delivers commodities and materials to clients, focusing on the financing and risk management aspects of the business. It operates its business in the following reportable segments: commodities and resources and merchant banking. Commodities and resources include the Company's commodities activities. It conducts such operations mainly through its subsidiaries based in Vienna, Austria, the United States, Latin America and Canada and it supplies various commodities, including minerals and metals, chemicals, plastics, refractory and ceramic materials and wood products. It also derives production royalty revenue from a mining sub-lease. Its merchant banking operations include merchant banking and financial services, third-party financing and other services, proprietary investing and its real property. Its activities include making proprietary investments through investing its own capital and utilizing its expertise to capture investment opportunities. Its merchant banking activities also include leveraging its trading and financial experience and relationships to provide trading services and trade finance services to its customers. The Company's competitors include merchant and investment banks, brokerage firms, commercial banks, private equity firms, hedge funds, financial advisory firms and natural resource and mineral royalty companies. Its gas and oil operations are subject to various Canadian governmental regulations including those imposed by the Alberta Energy Resources Conversation Board and Alberta Utilities Commission. It is subject to decommissioning obligations in connection with its ownership interests in hydrocarbon assets, including well sites, gathering systems and processing facilities.
