Manhattan Bancorp is a bank holding Company which was incorporated in August 2006, in order to acquire Bank of Manhattan, N.A., a de novo bank which it acquired on August 14, 2007. The Bank is a nationally-chartered banking association organized under the laws of the United States. Bancorp operates mainly through the Bank, and the investment in the Bank is its main asset. The bank serves financial services mainly to entrepreneurs, small and medium-sized businesses, business service professionals and owners/owner-users of commercial, industrial, and multi-family properties in the Los Angeles County market area, with particular emphasis on the South Bay, Westside and Los Angeles airport areas of Los Angeles County in Southern California. The Company is growing by promoting relationship-based products and services to meet the banking needs of its defined customer base. It presently offers a range of deposit products including non-interest bearing demand deposit and interest bearing checking accounts, regular savings and certificates of deposit. The Company offers cash management services to its commercial checking account customers. From the deposit funds generated and its capital proceeds, the Company has originated loans and made limited investments within the Bank's policy guidelines. The Company offers Internet banking services which allow customers to review its account information, issue stop payment orders, pay bills, transfer funds, order checks and inquire about credit products electronically. The Company offers qualified customers the ability to process deposits through remote item capture from its place of business. The banking business in California generally in the market area which it serves, is competitive with respect to virtually all products and services and has become increasingly so in recent years. Bancorp is registered as a bank holding company with the Federal Reserve Board and is subject to examination and regulation as a holding company by the FRB. The Bank is subject to supervision, examination and regulation by the Office of the Comptroller of Currency. Manhattan Bancorp is a registered bank holding company under the Bank Holding Company Act of 1956, as amended, and is regulated by the Federal Reserve Board.
