Business Description

Medical Properties Trust, Inc. was incorporated under Maryland law on August 27, 2004, and MPT Operating Partnership, L.P. was formed under Delaware law on September 10, 2003. The Company has operated as a REIT since April 6, 2004, and accordingly, elected REIT status upon the filing in September 2005 for its calendar year 2004 Federal income tax return. Medical Properties Trust is a self-advised real estate investment trust or REIT that acquires, develops, leases and makes other investments in healthcare facilities providing state-of-the-art healthcare services. The Company leases its facilities to healthcare operators pursuant to long-term net leases, which require the tenant to bear most of the costs associated with the property. In addition, it makes long-term, interest-only mortgage loans to healthcare operators, and from time to time, the Company also makes working capital and acquisition loans to its tenants. Medical Properties Trust conducts all of its business through its subsidiaries, MPT Operating Partnership, L.P., and MPT Development Services, Inc. As of February 22, 2012, its portfolio consists of 62 properties: 55 facilities (of the 60 facilities that it own) are leased to 20 tenants, one is presently not under lease, four are under development, and the remainder are in the form of mortgage loans to one operator. Its owned facilities consist of 25 general acute care hospitals, 19 long-term acute care hospitals, eight inpatient rehabilitation hospitals, two medical office buildings, and six wellness centers. The non-owned facilities on which the company has made mortgage loans consist of general acute care facilities. The leases for the Company's facilities are 'net' leases with terms requiring the tenant to pay all ongoing operating and maintenance expenses of the facility, including property, casualty, general liability and other insurance coverages, utilities and other charges incurred in the operation of the facilities, as well as real estate taxes, ground lease rent and the costs of capital expenditures, repairs and maintenance. At December 31, 2011, the company had leases with 20 hospital operating companies covering 55 facilities and it had two mortgage loans with one hospital operating company. Medical Properties Trust's revenues are derived from rents it earns pursuant to the lease agreements with its tenants and from interest income from loans to its tenants and other facility owners. The Company's tenants and borrowers operate in the healthcare industry, generally providing medical, surgical and rehabilitative care to patients. Medical Properties Trust competes in acquiring and developing facilities with financial institutions, other lenders, real estate developers, other REITs, other public and private real estate companies and private real estate investors.
