Marten Transport, Ltd., was organized under Wisconsin law in 1970. It is a temperature-sensitive truckload freight carrier specializing in hauling temperature-sensitive goods. The Company specializes in transporting and distributing food and other consumer packaged goods that require a temperature-controlled or insulated environment. Approximately 79% of its truckload revenue resulted from hauling temperature-sensitive products and 19% from hauling dry freight. In 2012, its average length of haul was 624 miles. It has two reporting segments - Truckload and Logistics. The primary source of its operating revenue is truckload revenue, which it generates by transporting long-haul and regional freight for its customers and report within its Truckload segment. The Company continues to expand its regional truckload operations, which represented 74% of its tractor fleet as of December 31, 2012. Its operating revenue also includes revenue reported within its Logistics segment, which consists of revenue from its internal brokerage and intermodal operations, both launched in 2005, and through its 45% interest in MW Logistics, LLC, or MWL, a third-party provider of logistics services to the transportation industry. Brokerage services involve arranging for another company to transport freight for its customers while the company retains the billing, collection and customer management responsibilities. Intermodal services involve the transport of its trailers on railroad flatcars for a portion of a trip, with the balance of the trip using its tractors or, to a lesser extent, contracted carriers. The Company directed to the temperature-sensitive market, which is generally service-sensitive, as opposed to being solely price competitive. It competes with many other truckload carriers that provide temperature-sensitive service of varying sizes and, to a lesser extent, with less-than-truckload carriers, railroads, and other transportation companies.
