The Company is a global exchange group that delivers trading, exchange technology, securities listing, and public company services across six continents. Its global offerings are diverse and include trading across multiple asset classes, market data products, financial indexes, capital formation solutions, financial services and market technology products and services. Its technology powers markets across the globe, supporting cash equity trading, derivatives trading, clearing and settlement and many other functions.In the U.S., it operates The NASDAQ Stock Market, a registered national securities exchange. The NASDAQ Stock Market is the largest cash equities securities market in the U.S. in terms of listed companies and in the world in terms of share value traded. In Europe, it operates exchanges in Stockholm (Sweden), Copenhagen (Denmark), Helsinki (Finland), and Iceland as NASDAQ OMX Nordic and exchanges in Tallinn (Estonia), Riga (Latvia) and Vilnius (Lithuania) as NASDAQ OMX Baltic. In addition, it operates NASDAQ OMX Europe, a marketplace for pan-European blue chip trading based in the United Kingdom, NASDAQ OMX Commodities, an offering for trading and clearing commodities based in Norway, and NASDAQ OMX Armenia. In some of the countries where it operates exchanges, it also provides clearing, settlement and depository services. The Company operates in three segments: Market Services, Issuer Services and Market Technology. Its Market Services segment includes its U.S. and European Transaction Services businesses, as well as its Market Data and Broker Services businesses. Its Issuer Services segment includes its Global Listing Services and Global Index Group businesses. Powering more than 70 markets in over 50 countries, it is a technology solutions provider and partner to exchanges, clearing organizations and central securities depositories. Its technology business is also the sales channel for its complete global offering to other marketplaces. The global offering includes trading, clearing, listings, corporate, market data and index services. The equity securities markets are intensely competitive. The Company competes in the U.S. against NYSE Euronext, BATS Exchange, regional exchanges and ATSs. In Europe, its major competitors include NYSE Euronext, Deutsche Börse, the London Stock Exchange Group plc, or LSE, the Spanish Exchanges, SIX Swiss Exchange, and Multilateral Trading Facilities, or MTFs, which are similar to U.S. ATSs. Competition also comes from broker-dealers and from off-board or OTC trading in the U.S. and elsewhere. The Company is subject to extensive regulation in the United States and Europe.
