NewLead Holdings Ltd. was incorporated on January 12, 2005 under the name 'Aries Maritime Holdings Limited' and on December 21, 2009, the Company changed its name to NewLead Holdings Ltd. It is an international vertically integrated shipping and commodity company. It engages in the transportation of refined products, such as gasoline and jet fuel, and dry bulk goods, such as iron ore, coal and grain. The Company conducts its operations through vessel-owning companies whose principal activity is the ownership and operation of product tankers and dry bulk vessels. In addition, under specific management agreements, it performs part of the commercial, technical and operational management of vessels outside of its owned fleet. The Company currently owns a fleet of two dry bulk carriers with a combined carrying capacity of approximately 0.15 million dwt and manages two double-hulled oil tanker/asphalt carriers. The Company operates in markets that are highly competitive and based mainly on supply and demand. It competes for charters on the basis of price, vessel location, size, age and condition of the vessel, as well as on its reputation as an operator. The Company competes with owners of container ships and owners of product tankers in the Aframax, Panamax and Handymax class sizes. The Company is subject to various international conventions, laws and regulations in force in the countries in which its vessels may operate or are registered.
