Nautilus Group, Inc., is incorporated in the State of Washington in 1993. It is a fitness products company that provides solutions to help people achieve a fit and healthy lifestyle. The Company's business activities include designing, developing, sourcing, manufacturing and marketing high quality cardiovascular and strength products and related accessories. Its products are designed for individuals with varying fitness needs. The Company conducts its business in two segments, Direct and Retail. In its direct business, the company market and sell its products, mainly Bowflex cardio and strength products, directly to consumers. In its Retail business, the company market and sell a comprehensive line of consumer fitness equipment under the Nautilus, Schwinn, Universal and Bowflex brands. Nautilus brand includes a complete line of cardio equipment, including treadmills, specialized cardio, exercise bikes and ellipticals. Its Bowflex brand represents a highly-regarded line of fitness equipment comprised of both cardio and strength products, including TreadClimber specialized cardio machines, treadmills, PowerRod and Revolution home gyms, and SelectTech dumbbells. The Company's Schwinn brand is known for its popular line of exercise bikes, including the Airdyne, ellipticals and treadmills. Its Universal brand, one of the oldest and recognized names in the fitness industry, currently offers a line of kettlebell weights and weight benches. The Company offers its full product assortment to its direct customers through its Internet websites and catalogs, it generally differentiate the product models offered in its Direct and Retail sales channels. Currently, its Bowflex TreadClimber product line is offered for sale mainly through its direct sales channel. Its products are marketed through a network of retail companies, consisting of sporting goods stores, Internet retailers, large-format and warehouse stores, and, to a lesser extent, smaller specialty retailers and independent bike dealers. All of its products are produced by third-party manufacturers, out of which its sole source for particular products and substantially all are located in Asia. Its warehousing and distribution facilities are located in Portland, Oregon and Winnipeg, Manitoba. The Company's products compete directly with those offered by a large number of companies that market consumer fitness equipment and fitness programs. Various international and U.S. federal, state and local governmental authorities, including the Federal Trade Commission, the Consumer Product Safety Commission, the Securities and Exchange Commission and the Consumer Financial Protection Bureau, regulate its product and marketing efforts.
