Noranda Aluminum Holding Corporation was incorporated in Delaware on March 27, 2007. The Company is a North American integrated producer of value-added primary aluminum products and high quality rolled aluminum coils. The Company has two businesses: its primary metals, or upstream business, and its rolled products, or downstream business. The Company's upstream business consists of its aluminum smelter near New Madrid, Missouri, which it refers to as 'New Madrid,' and supporting operations at its vertically integrated bauxite mine and alumina refinery. New Madrid has annual production capacity of approximately 580 million pounds. The Company's downstream business is one of the largest aluminum foil producers in North America and consists of four rolling mill facilities with a combined maximum annual production capacity of approximately 410 to 495 million pounds, depending on its production mix. The Company's upstream business is a producer of primary aluminum in the U.S. The Company's bauxite mining operation in Jamaica, which it refers to as 'St. Ann,' provides a secure source of bauxite to its wholly owned alumina refinery in Gramercy, Louisiana, which it refers to as 'Gramercy.' Gramercy provides a strategic supply of alumina to its New Madrid smelter at costs below recent spot market prices for alumina. The Company's downstream business is a low-cost domestic producer of aluminum rolled products. It owns and operates four rolling mills, including the West plant in Huntingdon, Tennessee, which is recognized as one of the most advanced rolled aluminum production facilities in North America. Versatile manufacturing capabilities and advantageous geographic locations provide its rolling mills with the flexibility to serve a diverse range of end-users. It faces domestic competition from a number of companies in the markets in which it operates. The Company's primary competitors are JW Aluminum Company, Aleris International Inc. and Hindalco Industries Limited. The Company's operations are subject to a wide variety of U.S. federal, state, local and non-U.S. environmental laws and regulations, including those governing emissions to air, discharges to waters, the generation, use, storage, transportation, treatment and disposal of hazardous materials and wastes, land reclamation and employee health and safety matters.
