Business Description

Newpark Resources, Inc was organized in 1932 as a Nevada corporation. In 1991, it changed its state of incorporation to Delaware. The Company is an oil and gas industry supplier providing products and services primarily to the oil and gas exploration industry. It operates in three segments: Fluids Systems and Engineering, Mats and Integrated Services, and Environmental Services. Fluids Systems and Engineering business offers customized solutions including highly technical drilling projects involving complex subsurface conditions, such as horizontal directional, geologically deep or deep water drilling. These projects require increased monitoring and critical engineering support of the fluids system during the drilling process. The Company provides drilling fluids products and technical services to markets in North America, EMEA, and Brazil. Mats and Integrated Services segment provides mat rentals, location construction and related well site services to E&P customers in the Northeast U.S. region, onshore U.S. Gulf Coast, and Rocky Mountain regions, and mat rentals to the utility industry in the U.K. These mats provide environmental protection and ensure all-weather access to sites with unstable soil conditions. Environmental Services segment provides disposal services for both oilfield E&P waste and industrial waste. The primary method used for disposal is low pressure injection into environmentally secure geologic formations deep underground. This segment operates in the U.S. Gulf Coast and West Texas markets. The Company's customers are principally major integrated and independent oil and gas E&P companies operating in the markets that it serve. The Company faces competition from larger companies, including Schlumberger, Halliburton Baker Hughes, and R360 Environmental Solutions. The Company's business is affected by governmental regulations relating to the oil and gas industry in general, as well as environmental, health and safety regulations that have specific application to its business.
