Novatel Wireless, Inc., a Delaware corporation was incorporated in 1996. The Company is a provider of wireless broadband access solutions for the worldwide mobile communications market. The Company operates in the wireless-data industry in two reportable segments: Mobile Computing Products and M2M Products and Solutions. Mobile Computing Products includes its MiFi products, USB and PC-card modems and embedded modules that enable data transmission and services via cellular wireless networks. M2M Products and Solutions include its intelligent M2M communications devices and modules, and asset-management solutions utilizing platforms that combine communications devices and customized service-delivery software. The Company's range of products mainly includes intelligent mobile hotspots, USB modems, embedded PCI and wireless PC-card modems, and communications and applications software. In addition, its Enfora division provides asset-management solutions utilizing intelligent platforms, customized service-delivery software, and machine-to-machine, or M2M, communications devices. Its products currently operate on every major cellular wireless technology platform. Its mobile hotspots, embedded modules, and modems provide subscribers with secure and convenient high-speed access to corporate, public and personal information through the Internet and enterprise networks. Its M2M products enable devices to communicate with each other and with server or cloud-based application infrastructure. Its mobile-hotspot and modem customer base is comprised of wireless operators, including AT&T, Bell Mobility, Sprint, Verizon Wireless, and Virgin Mobile; laptop PC and other original equipment manufacturers including Dell and Hewlett-Packard; as well as distributors and various companies in other vertical markets. The Company's M2M customer base is comprised of transportation companies, industrial companies, manufacturers of medical devices and geographical-location devices and providers of security systems. Its competitors include: wireless data modem and mobile hotspot providers, such as Huawei, ZTE, Sierra Wireless, PCD, Sony-Ericsson, LG Innotek and Samsung; wireless handset and infrastructure manufacturers, such as Motorola, Nokia, Siemens and Sony-Ericsson; wireless M2M solution providers, such as Sierra Wireless, Telit Wireless Solutions, Gemalto and Huawei; and wireless chipset providers, such as QUALCOMM, Motorola and Ericsson.
