Northwest Bancshares Inc. was incorporated in September 2009 in Maryland. The Company is a community-oriented financial institution offering traditional deposit and loan products and investment management and trust services. Through a wholly-owned subsidiary, Northwest Consumer Discount Company, it also offers consumer finance loans. Its main business consists of attracting deposits from the general public and the business community and making loans secured by various types of collateral, including real estate and other consumer assets in the markets in which it operate. Attracting and maintaining deposits is affected by a number of factors, including interest rates paid on competing investments offered by other financial and non-financial institutions, account maturities, fee structures, and levels of personal income and savings. Lending activities are affected by the demand for funds and thus are influenced by interest rates, the number and quality of lenders and regional economic conditions. Sources of funds for lending activities include deposits, borrowings, repayments on loans, cash flows from investment securities and income provided from operations. The Company's earnings depend mainly on its level of net interest income, which is the difference between interest earned on its interest-earning assets, consisting mainly of loans and investment securities, and the interest paid on interest-bearing liabilities, consisting mainly of deposits, borrowed funds, and trust-preferred securities. The Company competes with commercial banks, savings institutions, mortgage brokerage firms, credit unions, finance companies, mutual funds, insurance companies, and brokerage and investment banking firms operating locally and elsewhere. The Company's bank, Northwest Savings Bank, is subject to extensive regulation by the Department of Banking of the Commonwealth of Pennsylvania, as its chartering agency, and by the Federal Deposit Insurance Corporation, as the insurer of its deposit accounts.
