NorthWestern Corporation was incorporated in Delaware in November 1923. NorthWestern Corporation, doing business as NorthWestern Energy, provides electricity and natural gas to approximately 661,000 customers in Montana, South Dakota and Nebraska. The Company has generated and distributed electricity in South Dakota and distributed natural gas in South Dakota and Nebraska since 1923 and has generated and distributed electricity and natural gas in Montana since 2002. It operates its business in the following reporting segments: Regulated electric operations; Regulated natural gas operations; and all other, which mainly consists of a remaining unregulated natural gas contract, the wind down of its captive insurance subsidiary and its unallocated corporate costs. The Company's regulated electric utility business in Montana includes generation, transmission and distribution. It's Montana electric distribution system consists of approximately 21,400 miles of overhead and underground distribution lines and 336 transmission and distribution substations. It also serves several smaller distribution companies that provide service to approximately 32,000 customers. Its natural gas distribution system consists of approximately 4,100 miles of underground distribution pipelines. The Company has nonexclusive municipal franchises to transport and distribute natural gas in the Montana communities it serves. It supplies natural gas to customers that have not chosen other suppliers. Its natural gas supply requirements are fulfilled through third-party fixed-term purchase contracts and short-term market purchases. Its natural gas transportation pipelines are generally not subject to the jurisdiction of the FERC, although it is subject to state regulation.
