Northwest Natural Gas was incorporated under the laws of Oregon in 1910. The Company business consists of two core businesses: local gas distribution 'utility' business segment, which serves residential, commercial, and industrial customers in Oregon and southwest Washington; and gas storage 'gas storage' business segment, which serves utilities, gas marketers, electric generators, and large industrial users. It also has other business and investment activities 'non-utility.' Local Gas Distribution 'Utility' is mainly engaged in the distribution of natural gas in Oregon and southwest Washington, its activities includes: building and maintaining a safe and reliable pipeline distribution system, purchasing gas from producers and marketers, contracting for the transportation of gas over pipelines from regional supply basins to its service territory, and reselling the gas to customers subject to rates and terms approved by the Oregon Public Utility Commission (OPUC) or by the Washington Utilities and Transportation Commission (WUTC). Gas distribution also includes transporting gas owned by large customers from the interstate pipeline connection, or city gate, to the customers' facilities for a fee, also approved by the OPUC or WUTC. The Company's gas storage business segment mainly consists of the non-utility portion of its Mist underground storage facility in Oregon and its 75% ownership interest in the Gill Ranch underground storage facility in California. At Mist, it provide gas storage services to customers in the interstate and intrastate markets primarily using storage capacity that has been developed in advance of core utility customers' requirements. It also contract with an independent energy marketing company to provide asset management services using its utility and non-utility storage and transportation capacity, the results of which are included in the gas storage business segment. The Company has non-utility investments and other business activities, which mainly consists of an equity method investment in a joint venture to build and operate an interstate gas transmission pipeline in Oregon. The Company has no direct competition in its service area from other natural gas distributors. However, for residential customers, it competes mainly with electricity, fuel oil and propane. It also competes with electricity and fuel oil for commercial applications. In the industrial market, it competes with all forms of energy, including competition from third-party sellers of natural gas commodity. The Company has properties and facilities that are subject to federal, state and local laws and regulations related to environmental matters. The Company is subject to laws, regulations and other legal requirements enacted or adopted by federal, state and local governmental authorities relating to protection of the environment, including those legal requirements that govern discharges of substances into the air and water, the management
