New York & Company Inc, formerly known as NY & Co. Group Inc was incorporated in the state of Delaware on November 8, 2002. The Company together with its subsidiaries is a specialty retailer of women's fashion apparel and accessories, and the modern wear-to-work destination for women, providing fitting pants and NY Style that is feminine, polished, on-trend and versatile. The Company's proprietary branded New York & Company merchandise is sold exclusively through its national network of retail stores and online at www.nyandcompany.com. The target customers for the Company's merchandise are women between the ages of 25 and 45. As of February 1, 2014, the Company operated 507 stores in 43 states. The Company offers a merchandise assortment consisting of wear-to-work, casual apparel and accessories, including pants, dresses, jackets, knit tops, blouses, sweaters, denim, t-shirts, activewear, handbags and jewelry. Information technology is a key component of the Company's discovery. The Company's information systems integrate data from the field sales, eCommerce sales, design, merchandising, planning and distribution, and financial reporting functions. The Company's core business systems consist of both purchased and internally developed software, operating on Microsoft, Oracle, and IBM platforms. The Company competes with traditional department stores, specialty store retailers, discount apparel stores and direct marketers for, among other things, customers, raw materials, market share, retail space, finished goods, sourcing and personnel. The Company is subject to federal and state minimum wage laws, as well as various business customs, truth-in-advertising, truth-in-lending and other laws, including consumer protection regulations and zoning and occupancy ordinances that regulate retailers generally and/or govern the importation, promotion and sale of merchandise, the use of the Company's proprietary credit cards and the operation of retail stores and warehouse facilities.
