OmniAmerican Bancorp, Inc. is incorporated in Maryland. It owns all of the outstanding shares of common stock of OmniAmerican Bank. OmniAmerican Bank is a federally chartered savings bank headquartered in Fort Worth, Texas. The bank's principal business consists mainly of accepting deposits from the general public and investing those deposits, together with funds generated from operations and borrowings, in mortgage loans secured by residential real estate, consumer loans, consisting mainly of indirect automobile loans and to a lesser extent, commercial real estate, commercial business loans, real estate construction, and direct automobile loans. In addition to loans, it also invests in a variety of investments, mainly government-sponsored mortgage-backed securities and government-sponsored collateralized mortgage obligations ("CMOs"), and to a lesser extent equity securities. At December 31, 2012, its investment securities portfolio had an amortized cost of $372.9 million. The bank offers a variety of deposit accounts, including noninterest-bearing and interest-bearing demand accounts, savings accounts, money market accounts, and certificates of deposit. Its revenues are derived from interest on loans, mortgage-backed securities, and other investment securities. The bank also generates revenues from fees and service charges. Its primary sources of funds are deposits, principal and interest payments on securities and loans, and borrowings. The banks primary market area is the area surrounding its main office in Fort Worth, Texas which includes the communities in the Dallas-Fort Worth-Arlington metropolitan statistical area ("MSA"). The Company competes with commercial banks, savings institutions, mortgage brokerage firms, credit unions, finance companies, mutual funds, insurance companies, and investment banking firms.
