Business Description

OneBeacon Insurance Group, Ltd. is an exempted Bermuda limited liability company, which through its subsidiaries is a property and casualty insurance writer. The Company provides a range of specialty insurance products as well as a number of segmented commercial and personal insurance products. With roots dating back to 1831, the Company has been operating for more than 175 years and has many long-standing relationships with independent agencies, which constitute its main distribution channel. The Company's reportable segments are Insurance Operations segment, formerly known as Primary Insurance Operations and Other Operations. It manages Insurance Operations segment through a specialty lines underwriting unit and a personal lines underwriting unit, nearly all of which is subject to the Personal Lines Transaction. The Company's Other Operations segment consists of the activities of OneBeacon Insurance Group, Ltd. and its intermediate subsidiary holding companies which include OneBeacon U.S. Enterprises Holdings, Inc. and OneBeacon U.S. Holdings, Inc., both U.S.-domiciled companies, as well as various intermediate holding companies domiciled in the United States, Gibraltar, Luxembourg and Bermuda. Its Other Operations segment mainly consists of financing activities, purchase accounting adjustments relating to the OneBeacon Acquisition and other assets and general and administrative expenses incurred at the holding company level. The Company offers its products through a network comprised of independent agents, regional and national brokers and wholesalers. Its distribution relationships consist of approximately 3,400 agencies and brokers. Property and casualty insurance is highly competitive. The Company's competitors include numerous domestic and international insurers. The competitive factors for most insurance products it offers are price, product terms and claims service. The Company's insurance operations are subject to regulation and supervision in each of the jurisdictions where they are domiciled and licensed to conduct business.
