Owens-Illinois, Inc., a Delaware corporation was established in 1903. The Company is a manufacturer of glass containers with 79 glass manufacturing plants located in 21 countries. It produces glass containers for alcoholic beverages, including beer, flavored malt beverages, spirits and wine. It also produces packaging for a variety of food items, soft drinks, teas, juices and pharmaceuticals. These glass containers are manufactured in a variety of sizes, shapes and colors. The Company is also active in new product development and glass container innovation. Its major customers are food and beverage manufacturers including Anheuser-Busch InBev, Brown Forman, Carlsberg, Coca-Cola, Constellation, Diageo, Heineken, Kirin, MillerCoors, Nestle, PepsiCo, Pernod Ricard, SABMiller, and Saxco International. The Company's principal markets for glass container products are in Europe, North America, South America and Asia Pacific. It operates several machine shops that assemble and repair high-productivity glass-forming machines as well as mold shops that manufacture molds and related equipment. The Company also provides engineering support for its glass manufacturing operations through facilities located in the U.S., Australia, Poland and Peru. The main raw materials used in the Company's glass container operations are sand, soda ash, limestone and recycled glass. It competes primarily with manufacturers of glass containers. It also competes with manufacturers of other forms of rigid packaging, principally aluminum cans and plastic containers The Company's competitors producing metal containers include Amcor, Ball Corporation, Crown Holdings, Inc., Rexam plc, and Silgan Holdings Inc. Its competitors producing plastic containers include Amcor, Consolidated Container Holdings, LLC, Reynolds Group Holdings Limited, Plastipak Packaging, Inc. and Silgan. The Company is an important contributor to the recycling effort in the U.S. and abroad and continues to melt substantial recycled glass tonnage in its glass furnaces. Its operations and properties are subject to laws, ordinances, regulations and other legal requirements relating to environmental protection, including legal requirements governing investigation and clean-up of contaminated properties as well as water discharges, air emissions, waste management and workplace health and safety.
