OM Group, Inc., is a Delaware corporation and was formed in 1991. The Company is a diversified industrial growth company serving attractive global markets, including automotive systems, electronic devices, aerospace, general industrial and renewable energy. It uses innovative technologies to address customers' complex applications and demanding requirements. During 2012, the Company operated in four business platforms namely; Magnetic Technologies segment, Battery Technologies segment, Specialty Chemicals segment and Advanced Materials segment. The Magnetic Technologies segment develops, manufactures and distributes differentiated, high-performance, industrial-use magnetic materials and related products and systems with exceptional magnetic and/or physical properties. This segment offer the complete range of magnetic technology products, from magnetically soft products to the most powerful permanent magnets in the world. Its products are sold into a wide array of end markets, including automotive systems, electrical installation technology, general industrial, retail and renewable energy. This segment sells the majority of its products directly to original equipment manufacturers who incorporate them into their sub-assemblies and final assemblies. The Battery Technologies segment provides advanced batteries, battery management systems, and energetic devices for defense, aerospace and medical markets. It sells these products directly to customers who incorporate them into sub-assemblies. The business is also focused on developing products, technologies and applications for emerging markets, including commercial aerospace, alternative energy storage and oil & gas. The Specialty Chemicals segment develops, produces and supplies chemicals for electronic and industrial applications, and photomasks used by customers to produce semiconductors and related products. The majority of its sales are directly to customers. In January 2013 the Company entered into agreements to exit Advanced Materials segment. During 2012 and through the date of sale, this segment manufactures inorganic products using unrefined cobalt and other metals, for the mobile energy storage, renewable energy, automotive systems, construction and mining, and industrial end markets. The Company has operations in North America, Europe and Asia-Pacific, with the majority of its operations located outside of the United States. The Company markets its products worldwide and purchases important raw materials from suppliers located outside of the United States. The Company is subject to a variety of environmental and pollution control laws and regulations in the jurisdictions in which it operates.
