Orrstown Financial Services, Inc., a Pennsylvania corporation, is the holding company for Orrstown Bank. The Company was organized on November 17, 1987, for the purpose of acquiring the Bank and such other banks and bank related activities. The Bank provides banking and bank related services through 21 offices, located in South Central Pennsylvania, principally in Franklin, Perry and Cumberland Counties and in Washington County, Maryland. The Bank was originally organized in 1919 as a state-chartered bank. On March 8, 1988, in a bank holding company reorganization transaction, the Company acquired 100% ownership of the Bank. The Company's primary activity consists of owning and supervising its subsidiary, the Bank. The Bank offers various deposit products, including demand, time, savings, checking, and money market deposits. It also provides various loan products comprising commercial loans, such as commercial real estate, equipment, working capital, and other commercial purpose loans; consumer loans consisting of home equity loans, home equity lines of credit, and other consumer loans; construction, land development, and mortgage loans; and financial and agricultural loans. Further, it offers a line of financial services, including brokerage, mutual funds, estate planning, investments, and life insurance products through its Orrstown Financial Advisors division. The Company and its subsidiary are subject to the regulation of certain federal and state agencies and undergo periodic examinations by such regulatory authorities. Majority of its revenue comes encompasses net interest income, difference between revenues generated by interest-bearing assets and the cost of servicing liabilities.
