Business Description

Provident New York Bancorp is a Delaware corporation that owns all of the outstanding shares of common stock of Provident Bank. The Company provides financial services to individuals and businesses in New York and New Jersey. The Company's business is mainly accepting deposits from customers through its banking offices and investing those deposits, together with funds generated from operations and borrowings into commercial real estate loans, commercial business loans, ADC loans, residential mortgages, consumer loans, and investment securities. Additionally, the Company offers investment management services. Provident Bank, an independent, full-service bank founded in 1888, is the principal bank subsidiary of the Company. Provident Bank offers a complete line of commercial, community business and retail banking products and services. The Company operates 37 full servicing banking offices consisting of 30 retail branches and 7 commercial banking centers which serve the Hudson Valley region. The loans which the Company originates in its general market are; mainly commercial real estate loans, multifamily real estate, commercial business loans, and are deemphasizing acquisition, development and construction loans. The Company also originates loans in its market area on a fixed-rate and adjustable-rate basis residential mortgage loans collateralized by one- to four-family residential real estate, and consumer loans such as home equity lines of credit, homeowner loans and personal loans. The Company originates real estate loans secured predominantly by first liens on commercial real estate. It makes various types of secured and unsecured commercial loans to customers in its market area for the purpose of financing equipment acquisition, expansion, working capital and other general business purposes. The terms of these loans generally range from less than one year to seven years. The Company offers conforming and non-conforming, fixed-rate and adjustable-rate residential mortgage loans with maturities of up to 30 years and maximum loan amounts generally up to $1.1 million that are fully amortizing with monthly or bi-weekly loan payments. The Company originates a variety of consumer and other loans, including homeowner loans, home equity lines of credit, new and used automobile loans, and personal unsecured loans, including fixed-rate installment loans and variable lines of credit. The Company offers a variety of deposit accounts with a range of interest rates and terms. Its deposit accounts consist of savings accounts, NOW accounts, checking accounts, money market accounts, club accounts, certificates of deposit and IRAs and other qualified plan accounts. The Company provides a variety of commercial checking accounts and other products for businesses. In addition, The Company provides low-cost checking account services for low-income customers. The Company faces significant competition in both originating loans and attracting deposits.
