Portsmouth Square, Inc. is a California corporation, incorporated on July 6, 1967, for the purpose of acquiring a hotel property in San Francisco, California through a California limited partnership, Justice Investors ("Justice" or the "Partnership"). As of June 30, 2010, approximately 68.8% of the outstanding common stock of Portsmouth was owned by Santa Fe Financial Corporation ("Santa Fe"), a public company. Santa Fe is a 76%-owned subsidiary of The InterGroup Corporation, a public Company. InterGroup also directly owns approximately 11.7% of the common stock of Portsmouth. The Company's principal business is conducted through its general and limited partnership interest in the Justice Investors limited partnership .The Company has a 50.0% limited partnership interest in Justice and serves as one of the general partners. Justice owns approx 544 room hotel property, known as the "Hilton San Francisco Financial District" and related facilities, including a five level underground parking garage. On December 1, 2008, Portsmouth and Evon, as the two general partners of Justice, entered into a 2008 Amendment to the Limited Partnership Agreement (the "Amendment") that provides for a change in the respective roles of the general partners. The hotel industry is highly competitive. In connection with the ownership of the Hotel, the Company is subject to various federal, state and local laws, ordinances and regulations relating to environmental protection.
