Business Description

PSB Holdings, Inc. is a federally chartered holding Company formed on May 27, 2003 for the purpose of acquiring all of the common stock of Putnam Bank concurrent with the Bank's reorganization from a mutual savings institution to the mutual holding company form of organization. In October 2004, the Bank converted to a federally chartered stock savings bank in connection with the offering of common stock by PSB Holdings, Inc. It is a public company, and files interim, quarterly and annual reports with the Securities and Exchange Commission. The Company's main business consists of attracting deposits from the general public in Windham County and New London County, Connecticut and investing those deposits, together with funds generated from operations, mainly in one- to four-family residential mortgage loans and, to a lesser extent, commercial real estate loans (including multi-family real estate loans), commercial loans, construction mortgage loans and consumer loans, and in investment securities. Its revenues are derived mainly from interest on loans and securities, and from loan origination and servicing fees. The Company's sources of funds are deposits and main and interest payments on loans and securities. Historically, its main lending activity has been the origination of first mortgage loans for the purchase or refinancing of one- to four-family residential real estate. The Company faces intense competition within its market area both in making loans and attracting deposits.
