Business Description

Park Sterling Corp a North Carolina corporation was formed in October 2010 to serve as the holding company for Park Sterling Bank (the "Bank") and is a bank holding company registered with the Federal Reserve Board. On January 1, 2011, the Company acquired all of the outstanding common stock of the Bank, on a one-for-one basis, in a statutory share exchange transaction effected under North Carolina law. Through its branches and offices, It provides banking services to small and mid-sized businesses, owner-occupied and income-producing real estate owners, institutions, and professionals and consumers doing business or residing within its target markets. It provides a wide range of banking products, including personal, business and non-profit checking accounts, IOLTA accounts, individual retirement accounts, business and personal money market accounts, certificates of deposit, overdraft protection, safe deposit boxes and online banking. Its lending activities include a range of short-to medium-term commercial, real estate, residential mortgage and home equity and consumer loans, as well as long-term residential mortgages. Its wealth management activities include investment management, custody services and brokerage services. Its cash management activities include remote deposit capture, sweep accounts, ACH and wire payments. It competes for deposits in its banking markets with other commercial banks, savings banks and other thrift institutions, credit unions, agencies issuing United States government securities, and all other organiza¬tions and institutions engaged in money market transactions. In its lending activities, it competes with all other financial institutions as well as consumer finance companies, mortgage companies and other lenders. In Its wealth management activities, it competes with commercial and investment banking firms, investment advisory firms and brokerage firms. Bank holding companies and commercial banks are subject to extensive supervision and regulation by federal and state agencies. The Company also is subject to the North Carolina Bank Holding Company Act of 1984.
