Business Description

Patterson-UTI Energy, Inc. was formed in 1978 and reincorporated in 1993 as a Delaware corporation. It is a provider of contract services to the North American oil and natural gas industry. Its services mainly involve the drilling, on a contract basis, of land-based oil and natural gas wells and, to a lesser extent, pressure pumping services. In addition to the aforementioned contract services, it also invests, on a working interest basis, in oil and natural gas properties. The Company owns and operates one of the largest fleets of land-based drilling rigs in the United States. It provides its contract services to oil and natural gas operators in many of the oil and natural gas producing regions of North America. Its contract drilling operations are focused in various regions of Texas, New Mexico, Oklahoma, Arkansas, Louisiana, Mississippi, Colorado, Utah, Wyoming, Montana, North Dakota, South Dakota, Pennsylvania, and western Canada, while its pressure pumping services are focused primarily in the Appalachian Basin. As of December 31, 2011, it had a drilling fleet that consisted of 328 marketable land-based drilling rigs. A drilling rig includes the structure, power source and machinery necessary to cause a drill bit to penetrate the earth to a depth desired by the customer. The oil and natural gas properties in which it holds interests are mainly located in Texas and New Mexico. The Company provides pressure pumping services to oil and natural gas operators primarily in the Appalachian Basin. These services consist primarily of well stimulation and cementing for completion of new wells and remedial work on existing wells. It also owns and invests in oil and natural gas assets as a working interest owner. Its oil and natural gas interests are located primarily in Texas and New Mexico. Its revenues, operating profits and identifiable assets are primarily attributable to three industry segments: contract drilling services, pressure pumping services, and oil and natural gas exploration and production. The Company markets its contract drilling services to major and independent oil and natural gas operators. It provides pressure pumping services to oil and natural gas operators primarily in the Appalachian Basin. Pressure pumping services are mainly well stimulation and cementing for the completion of new wells and remedial work on existing wells. It has been engaged in the development, exploration, acquisition and production of oil and natural gas. The customers of each of its contract drilling and pressure pumping business segments are oil and natural gas operators. Its customer base includes both major and independent oil and natural gas operators. All of its operations and facilities are subject to numerous Federal, state, foreign, and local laws, rules and regulations related to various aspects of its business.
