Red Lion Hotels Corporation was incorporated in the state of Washington in April 1978, and operated hotels until 1999 under various brand names including Cavanaughs Hotels. It is hospitality and Leisure Company mainly engaged in the ownership, operation and franchising of midscale, full, select and limited service hotels under its proprietary Red Lion brand. The Red Lion brand is typically associated with midscale full and select service hotels. In 1999, it acquired WestCoast Hotels, Inc., and rebranded its Cavanaughs hotels to the WestCoast brand, changing its name to WestCoast Hospitality Corporation. In 2001, it acquired Red Lion Hotels, Inc. In September 2005, after rebranding its WestCoast hotels to the Red Lion name, it changed its name to Red Lion Hotels Corporation. The Company's system of hotels contains approximately 48 hotels located in nine states and one Canadian province, with around 9,015 rooms and 484,693 square feet of meeting space. The Company operates in three reportable segments: The hotels segment, the franchise segment, and the entertainment segment. The hotels segment derives revenue mainly from guest room rentals and food and beverage operations at its owned and leased hotels. It operates approximately 30 hotels, of which 23 are wholly-owned and 5 are leased. The franchise segment is engaged mainly in licensing the Red Lion brand to franchisees. This segment generates revenue from franchise fees that are typically based on a percent of room revenues and are charged to hotel owners in exchange for the use of its brand and access to its central services programs. These programs include its reservation system, guest loyalty program, national and regional sales, revenue management tools, quality inspections, advertising and brand standards. The entertainment segment derives revenues mainly from ticketing services and promotion and presentation of entertainment productions under the operations of TicketsWest and WestCoast Entertainment. It offers ticketing inventory management systems, call center services, and outlet/electronic channel distribution for event locations. The Company's competitors include management companies as well as large hotel chains that own and operate their hotels and franchise their brands.
