RLJ Lodging Trust was incorporated as a Maryland real estate investment trust in January 2011. The Company along with its subsidiaries is a self-advised and self-administered Maryland real estate investment trust, which invests in premium-branded, focused-service and compact full-service hotels. As of December 31, 2013, the Company through its wholly-owned subsidiaries, owned 149 properties, comprised of 147 hotels with approximately 22,300 rooms and two planned hotel conversions, located in 22 states and the District of Columbia. It is subject to various U.S. federal, state and local laws, ordinances and regulations, including regulations relating to common areas and fire and safety requirements. It faces competition for the acquisition of hotels from institutional pension funds, private equity funds, REITs, hotel companies and others who are engaged in the acquisition of hotels. Its hotels are subject to various federal, state, and local environmental, health and safety laws and regulations that address a wide variety of issues, including, but not limited to, storage tanks, air emissions from emergency generators, storm water and wastewater discharges, lead-based paint, mold and mildew and waste management.
