Radio One Inc was founded in 1980. The Company and its subsidiaries is an urban-oriented, multi-media company that mainly targets African-American and urban consumers. The Companys core business is its radio broadcasting franchise that is the radio broadcasting operation that targets African-American and/or urban listeners. As of December 31, 2013, it owned and/or operated 54 broadcast stations located in 16 urban markets in the United States. Its main source of revenue is the sale of local and national advertising for broadcast on its radio stations. The Companys four reportable segments are Radio Broadcasting; Reach Media; Internet; and Cable Television. The radio broadcasting segment consists of all broadcast results of operations. The Reach Media segment consists of the results of operations for the Tom Joyner Morning Show and related activities in addition to syndicated radio shows including The Tom Joyner Morning Show, The Rickey Smiley Morning Show, The Russ Parr Morning Show, The Yolanda Adams Morning Show, The James Fortune Show, and The Reverend Al Sharpton Show. The internet segment includes the results of its online business. The cable television segment consists of TV Ones results of operations. Recently, the Company has executed a letter of intent with MGM to partner to develop a world-class casino property, MGM National Harbor, located in Prince Georges County, Maryland. Its media properties compete for audiences and advertising revenue with other radio stations and with other media such as broadcast and cable television, the Internet, satellite radio, newspapers, magazines, direct mail and outdoor advertising. The radio broadcasting industry is subject to extensive and changing regulation by the Federal Communications Commission (FCC) and other federal agencies of ownership, programming, technical operations, employment and other business practices.
