Radio One, Inc. is a Delaware Corporation. It is an urban oriented, multi-media company that primarily targets African-American and urban consumers. The Company's core business is its radio broadcasting franchise that is the largest radio broadcasting operation that targets African-American and/or urban listeners. Currently it owns and/or operates approximately 54 broadcast stations located in 16 urban markets in the United States. The Company's other media interests include its approximately 51.1% controlling ownership interest in TV One, LLC (TV One), an African-American targeted cable television network; its 80.0% ownership interest in Reach Media, Inc. Reach Media, which operates the Tom Joyner Morning Show; its ownership of Interactive One, LLC (Interactive One), an online platform serving the African-American community through social content, news, information, and entertainment, which operates a number of branded sites, including News One, UrbanDaily and HelloBeautiful; and an online social networking company, which operates a number of branded websites, including BlackPlanet, MiGente and Asian Avenue. Through its national multi-media presence, it provides advertisers with a unique and powerful delivery mechanism to the African-American and urban audience. The Company's interactive unit competes for the time and attention of internet users and, thus, advertisers and advertising revenues with a wide range of internet companies such as Yahoo!TM, Google TM and Microsoft TM, social networking sites such as Facebook TM and traditional media companies, which are increasingly offering their own internet products and services. The radio broadcasting industry is subject to extensive and changing regulation by the Federal Communications Commission (FCC) and other federal agencies of ownership, programming, technical operations, employment and other business practices.
