Business Description

Retail Opportunity Investments Corp. was incorporated in Delaware on July 10, 2007 as NRDC Acquisition Corp. The Company reincorporated as a Maryland corporation on June 2, 2011. It is a integrated, self-managed real estate investment trust, or REIT. The Company specializes in the acquisition, ownership and management of necessity-based community and neighborhood shopping centers in the western and eastern regions of the United States, anchored by national and regional supermarkets and drugstores. The Company refers to the properties it targets for investment as its target assets. From the commencement of its operations through December 31, 2011, the Company completed approximately $626.0 million of shopping center investments. As of December 31, 2011, the Company's portfolio consisted of 30 wholly-owned retail properties totalling approximately 3.2 million square feet of gross leasable area, or GLA, two retail properties owned through joint ventures, encompassing approximately 500,000 square feet of GLA and a 50% interest in a B-note of an existing promissory note secured by a 407,952 square foot shopping center. The Company seeks to acquire shopping centers located in densely populated, supply-constrained metropolitan markets in the western and eastern regions of the United States, which exhibit income and population growth and barriers to entry. On January 3, 2011, the Company acquired a shopping center located in Oceanside, California (the 'Market Place Del Rio Property'), for a purchase price of $35.7 million. The Market Place Del Rio Property is a shopping center containing 177,136 square feet of GLA. The Market Place Del Rio Property is anchored by Stater Brothers Market and Walgreens. The Company acquired this property with cash and did not encumber this asset with a mortgage. On January 6, 2011, the Company acquired a shopping center located in Pinole, California (the 'Pinole Vista Property'), for a purchase price of $20.8 million. The Pinole Vista Property is a shopping center containing 165,025 square feet of GLA. The Pinole Vista Property is anchored by Save-mart (Lucky) Supermarket, Kmart and Dollar Tree. The Company acquired this property with cash and did not encumber this asset with a mortgage. On November 22, 2011, the Company acquired the property known as the Hillsboro Market Center located in Hillsboro, Oregon for a purchase price of approximately $17.5 million. The Hillsboro Market Center is a shopping center containing 156,021 square feet of GLA and is anchored by Albertson's Supermarket, Dollar Tree and Marshalls. The Company acquired this property with cash and did not encumber this asset with a mortgage. On February 16, 2012, the Company acquired a shopping center known as teh Gateway Shopping Center located in Marysville, Washington for a purchase price of $29.4 million. The Gateway Shopping Center is approximately 101,000 square feet and is anchored by WinCo Foods (NAP) and Rite Aid.
