Rovi Corp, a Delaware corporation was formed in 2007. The Company is engaged in the discovery and personalization of digital entertainment. The Company provides various integrated solutions that are embedded in its customers' products and services, connecting consumers with entertainment. Content discovery solutions include interactive program guides (IPGs), search and recommendations, cloud data services and its database of Metadata. The Company also offers advertising and analytics services. Its analytics services utilize the proprietary data and data it acquires to offer service providers and advertisers the opportunity to optimize their television advertising and promotional efforts. In addition to offering IPGs developed by its customers may also license patents and deploy their own IPG or a third party IPG. The Company has patented many aspects of content discovery, DVR and VOD functionality, multi-screen functionality, as well as interactive applications and advertising. The Company has licensed this portfolio for use with linear television broadcast. However, there is an emerging industry transition to Internet platform technologies which is enabling new video services for television in homes as well as on multiple screens such as tablets and smartphones. The Company operates in two categories namely service providers and consumer electronics. The Company currently offers multiple IPGs to the CE industry, including those marketed under the G-GUIDE brand in Japan and the TotalGuide brand in Europe and North America. Its IPGs generally deliver continuously updated multi-day program listings to users, regardless of whether they receive their television signal via cable or over-the-air broadcast. The Company sells directly to CE manufacturers as well as semiconductor companies that supply the CE manufacturers. It offers music, television, movie, book, and video game metadata. In addition, the Company catalogs information on celebrities, awards, sports, and other data necessary to provide a robust set of metadata. It provides resources for all types of media and businesses in print, on-screen and online formats—as well as through interactive and electronic program guides. Additionally, the data covers multiple geographies including the US, Latin America, major Western European countries, Japan and Korea. The Company licenses a number of data and service offerings, including schedules, listings, TV supplements, and Web services. It sells directly to Motion Picture Association of America (MPAA) and independent studios. The Company is subject to a number of foreign and domestic laws and regulations that affect companies that import or export software and technology, including encryption technology, such as the U.S. export control regulations as administered by the U.S. Department of Commerce.
