SandRidge Mississippian Trust II is a statutory trust formed on December 13, 2011 under the Delaware Statutory Trust Act pursuant to a trust agreement by and among SandRidge Energy, Inc. as Trustor, The Bank of New York Mellon Trust Company, N.A., as Trustee, and The Corporation Trust Company, as Delaware Trustee. The Trust holds Royalty Interests in specified oil and natural gas properties located in the Mississippian formation in Alfalfa, Grant, Kay, Noble and Woods counties in northern Oklahoma and Barber, Comanche, Harper and Sumner counties in southern Kansas. The Company receives royalties from the sale of oil, natural gas liquids and natural gas production through interest in 54 wells producing and 13 additional wells. The Company faces competition from oil and gas companies, independent oil and gas companies, and individual producers and operators in northern Oklahoma and southern Kansas. The oil and natural gas industry is extensively regulated by numerous federal, state, local and regional authorities, as well as Native American tribes.
