Select Medical Holdings Corporation was incorporated on October 14, 2004 as a Delaware corporation. The Company provides long term acute care hospital services and inpatient acute rehabilitative hospital care through its hospital segment and provides physical, occupational and speech rehabilitation services through its outpatient rehabilitation segment. It manages its company through two business segments, specialty hospital and outpatient rehabilitation segments. As of December 31, 2012, the company operated 110 long term acute care hospitals, or 'LTCHs' and 12 inpatient rehabilitation facilities, or 'IRFs; in 32 states, and 979 outpatient rehabilitation clinics in 32 states and the District of Columbia. It also provides medical rehabilitation services on a contract basis at nursing homes, hospitals, assisted living and senior care centers, schools and worksites. The Company has two business segments its specialty hospital segment and outpatient rehabilitation segment. Specialty Hospital: operator of specialty hospitals in the United States. Typically, each of its clinics is located in a medical complex or retail location. It also provides medical rehabilitative services to residents and patients of nursing homes, hospitals, schools, assisted living and senior care centers and worksites. As of December 31, 2012, it provided rehabilitative services to approximately 504 contracted locations in 30 states and the District of Columbia. Its outpatient rehabilitation segment employed approximately 9,100 people as of December 31, 2012. Other companies operate long term acute care hospitals and inpatient rehabilitation facilities that compete with its hospitals, including operators of similar facilities, such as Kindred Healthcare Inc. and HealthSouth Corporation. Its competitive factors in the long term acute care and inpatient rehabilitation businesses include quality of services, charges for services and responsiveness to the needs of patients, families, payors and physicians.
