Shore Bancshares Inc was incorporated under the laws of Maryland on March 15, 1996. It is a financial holding company registered under the Bank Holding Company Act of 1956. The Company is a financial holding company located on the Eastern Shore of Maryland. Its business is acting as the parent company to several financial institution and insurance entities. The Company engages in the banking business through CNB, a Maryland commercial bank with trust powers and The Talbot Bank of Easton, Maryland, a Maryland commercial bank. The Company engages in the insurance business through two general insurance producer firms, The Avon-Dixon Agency, LLC; Elliott Wilson Insurance, LLC, one marine insurance producer firm, Jack Martin & Associates, Inc., three wholesale insurance firms, Tri-State General Insurance Agency, LTD, Tri-State General Insurance Agency of New Jersey, Inc. and Tri-State General Insurance Agency of Virginia, Inc.; and two insurance premium finance companies, Mubell Finance, LLC and ESFS, Inc. The Company operates in two business segments: community banking and insurance products and services. The banks provide standard savings and checking accounts to attract deposits, which it then uses to originate variety of loans, real estate loans. The company is also engaged in the insurance business through two general insurance producer firms. The Company is subject to the supervision, examination and reporting requirements of the BHC Act and the regulations of the FRB.
