Sirius XM Holdings Inc was incorporated in Delaware on May 21, 2013. The Company broadcasts its music, sports, news, talk, entertainment, traffic and weather channels in the United States for a subscription fee through its proprietary satellite radio systems: the SIRIUS system and the XM system.The Company controls and communicate with its satellites from facilities in North America and maintain earth stations in Panama and Ecuador to control and communicate with several of Sirius satellites. The Company operates five in-orbit Sirius satellites, FM-1, FM-2, FM-3, FM-5 and FM-6. It also operates four in-orbit XM satellites, XM-1, XM-3, XM-4 and XM-5. The subscribers can also receive certain of its music and other channels over the Internet. Its satellite radios are distributed through automakers (OEMs); nationwide through retail locations; and through its websites. SIRIUS and XM radios are also offered to customers of rental car companies. Each platform offers an extensive selection of music genres, ranging from rock, pop and hip-hop to country, dance, jazz, Latin and classical. Within each genre, it offers formats, styles and recordings. It sells satellite radios directly to consumers through its website. Satellite radios are also marketed and distributed through national and regional retailers. The Company develops in-store merchandising materials and provides sales force training for several retailers. It designs, establish specifications for, source or specify parts and components for, and manage various aspects of the logistics and production of SIRIUS and XM radios. The Company faces competition for both listeners and advertisers in its satellite radio business, including providers of radio or other audio services. Its digital competitors are making in-roads into vehicles. As operators of a privately-owned satellite system, the company is regulated by the FCC under the Communications Act of 1934, principally with respect to: the licensing of its satellite systems, preventing interference with or to other users of radio frequencies and compliance with FCC rules established specifically for U.S. satellites and satellite radio services.
