Business Description

Sandisk Corporation was incorporated in Delaware in June 1988 under the name SunDisk Corporation and changed its name to SanDisk Corporation in August 1995. esign, develop and manufacture data storage solutions in a variety of form factors using its flash memory, proprietary controller and firmware technologies. Its mission is to provide simple, reliable and affordable storage for consumer use in portable devices. It sells its products globally through retail and OEM distribution channels. The Company's removable card products are used in a range of consumer electronics devices such as mobile phones, digital cameras, gaming devices and laptop computers. The Company's embedded flash products are used in mobile phones, navigation devices, gaming systems, imaging devices and computing platforms. For computing platforms, it provides high-speed, high-capacity storage solutions known as SSDs that could be used in lieu of hard disk drives in a variety of computing devices. Its products are manufactured by combining NAND flash memory with a controller chip. It purchases the vast majority of its NAND flash memory supply requirements through its flash venture relationships with Toshiba Corporation or Toshiba, which produce and provide the Company with leading-edge, low-cost memory wafers. From time-to-time, it also purchases flash memory on a foundry basis from NAND flash manufacturers including Toshiba, Samsung Electronics Co., Ltd. and Hynix Semiconductor, Inc. It operates in the flash memory semiconductor industry, which is comprised of NOR and NAND technologies. The Company's products are sold in a variety of form factors and include the following: Removable Cards, Embedded Products, USB Drives, Digital Media Players and Wafers and Components. The Company sells its products globally to retail and OEM customers. The Company's main semiconductor competitors include Hynix, Intel, Micron, Samsung and Toshiba. It relies on a combination of patents, trademarks, copyright and trade secret laws, confidentiality procedures and licensing arrangements to protect its intellectual property rights. As of the end of fiscal year 2011, it owned, or had rights to, more than 2,000 United States, or U.S., patents and more than 1,700 foreign patents. The company had more than 1,100 patent applications pending in the U.S., and had foreign counterparts pending on many of the applications in multiple jurisdictions. Its primary competitors currently include, among others, Kingston Technology Company, Inc., or Kingston, Lexar, PNY Technologies, Inc., or PNY, Samsung, Sony and Transcend Information, Inc., or Transcend.
