SP Plus Corp, formerly known as Standard Parking Corporation, was incorporated on September 24, 1981. The Company is a provider of parking management, ground transportation and other ancillary services to commercial, institutional and municipal clients in the United States, Puerto Rico and Canada. Its services include on-site parking management and ground transportation services, which consist of training, scheduling and supervising all service personnel as well as providing customer service, marketing, maintenance and accounting and revenue control functions necessary to facilitate the operation of its clients' parking facilities. It also provides ancillary services such as airport shuttle operations, valet services, taxi and livery dispatch services and municipal meter revenue collection and enforcement services. As of December 31, 2013, it managed approximately 4,300 parking facility locations containing approximately 2.1 million parking spaces in approximately 420 cities, operated 30 parking-related service centers serving 75 airports, operated a fleet of approximately 730 shuttle buses carrying approximately 37 million passengers per year, operated 136 valet locations and employed a professional staff of approximately 24,000 people. The Company's Click and Park technology allows customers to reserve and pre-pay their parking fees and receive customized driving directions to their destinations. It automatically changes the routing assigned to customers as the engineered capacities of roadways are reached. Further, Click and Ride technology lets customers reserve and pay for bus seating online. The Company's parking facilities operate under three types of arrangements: management contracts, leases and ownership. Under management contract, the facility operator receives a base monthly fee for managing the facility and may receive an incentive fee based on the achievement of facility performance objectives; Under a lease, the parking facility operator pays to the property owner either a fixed base rent, percentage rent that is tied to the facility's financial performance, or a combination of both. Ownership of parking facilities, either independently or through joint ventures has potential risks and rewards than either managed or leased facilities. All owned facility revenue flows directly to the owner, and the owner has the potential to realize benefits of appreciation in the value of the underlying real estate. Ownership of parking facilities usually requires large capital investments, and the owner is responsible for all obligations related to the property, including all structural, mechanical and electrical maintenance and repairs and property taxes. The Company also provides ancillary services such as providing shuttle bus vehicle and the drivers to operate them in support of on-airport car rental operations as well as private off-airport parking locations at airports throughout the United States.
