Business Description

SPS Commerce, Inc. was incorporated as St. Paul Software, Inc., a Minnesota corporation, on January 28, 1987. On May 30, 2001, the company reincorporated in Delaware under the name, SPS Commerce, Inc. The Company is a provider of on-demand supply chain management solutions, providing integration, collaboration, connectivity, visibility and data analytics to thousands of customers worldwide. It provides its solutions through SPSCommerce.net, a hosted software suite that uses pre-built integrations to enable its supplier customers to shorten supply cycle times, optimize inventory levels, reduce costs and satisfy retailer requirements. The Company delivers its solutions to its customers over the Internet using a Software-as-a-Service model. This model enables its customers to easily interact with their trading partners around the world without the local implementation and servicing of software that traditional on-premise solutions require. Its delivery model also enables it to offer greater functionality, integration and reliability with less cost and risk than traditional solutions. As of December 31, 2011, it had approximately 16,100 customers with contracts to pay it monthly fees. The Company faces competition from Software-as-a-Service providers that deliver business-to-business information systems using a multi-tenant approach, traditional on-premise software providers and managed service providers that combine traditional on-premise software with professional information technology services. The Company is subject to income taxes in the U.S. federal and various state and international jurisdictions.
