SPS Commerce, Inc., was incorporated as St. Paul Software, Inc., a Minnesota corporation, on January 28, 1987. On May 30, 2001, the Company reincorporated in Delaware under the name, SPS Commerce, Inc. The Company is a provider of on-demand supply chain management solutions and the Retail Universe community, providing integration, collaboration, connectivity, visibility and data analytics to thousands of customers worldwide. The Company provides its solutions through the SPS Commerce platform, a cloud-based software suite that improves the way suppliers, retailers, distributors and other customers manage and fulfill orders. The Company delivers its solutions to its customers over the Internet using a Software-as-a-Service model. This model enables its customers to easily interact with their trading partners around the world without the local implementation and servicing of software that traditional on-premise solutions require. Its delivery model also enables it to offer greater functionality, integration and reliability with less cost and risk than traditional solutions. As of December 31, 2012, the Company had approximately 18,000 customers with contracts to pay it monthly fees. The Software-as-a-Service vendors compete with traditional on-premise software companies and managed service providers. Traditional on-premise software companies focused on supply chain integration management include Sterling Commerce, a subsidiary of IBM, GXS Corporation, Extol International and Seeburger. The Company is subject to income taxes in the U.S. federal and various state and international jurisdictions.
