STR Holdings, Inc. was incorporated in 1944 as a plastics and industrial materials research and development Company in Delaware. The Company is a global provider of encapsulants, used to protect and hold solar modules together, to the solar industry. It was the first to develop ethylene-vinyl acetate based encapsulants for use in commercial solar module manufacturing. It has developed encapsulants that maintain their dimensional stability and ultra-fast curing formulations. The Company's encapsulants can be used in both of the prevailing solar panel technologies, crystalline silicon and thin-film, and are valued by certain of its customers because they maintain their size and shape throughout the solar module manufacturing process, have fast curing times, possess high PID resistance, provide high-light transmission and demonstrate long-term stability. The Company offers its products in United States, Spain and Malaysia. Its PhotoCap products consist primarily of ethylene-vinyl acetate, which is modified with additives and put through proprietary manufacturing process to increase product stability and make the encapsulant suitable for use in extreme, long-term outdoor applications. It faces intense competition in the solar encapsulant market and has experienced significant decline in global market share from approximately 30% in 2010 to approximately 10% in 2012. The Company's intellectual property consists of 14 encapsulant formulations, as well as several processes and sub-processes, and its trademarks 'STR', 'PhotoCap' and 'STR Protected'. It owns a number of trademarks, trade secrets and other intellectual property rights that relate to its products. It has filed two patent applications with respect to some of its solar products in development due to the specific nature of these products.
