Constellation Brands Inc. is a Delaware corporation incorporated on December 4, 1972, as the successor to a business founded in 1945. The Company conducts its business through entities it wholly owns as well as through a variety of joint ventures with various other entities, both within and outside the United States (U.S.). It is a wine company in the U.S., Canada, the United Kingdom (U.K.), Australia and New Zealand. The Company's wine portfolio is complemented by select premium spirits brands and other select beverage alcohol products. The Company is a marketer of imported beer in the U.S. through its investment in Crown Imports, a joint venture with Grupo Modelo, S.A.B. de C.V. (Modelo) pursuant to which Modelo's Mexican beer portfolio (the Modelo Brands) are imported, marketed and sold by the joint venture in the U.S. along with certain other imported brands. Its two business divisions are Constellation Wines and Crown Imports. Constellation Wines is a producer and marketer of wine in the world. It sells a number of wine brands across all categories - table wine, sparkling wine and dessert wine-and across all price points- popular, premium, super-premium and fine wine. Constellation Wines is a producer and marketer of wine in the U.S., Canada, Australia and New Zealand and a marketer of wine in the U.K. Its customers are wholesale distributors, retailers, on-premise locations and government alcohol beverage control agencies. It has a market position in the U.S., Canada and New Zealand and sells a number of wine brands across all categories - table wine, sparkling wine and dessert wine - and across all price points - popular, premium, super-premium and fine wine. In the U.S., Constellation Wines and Spirits sell 14 of the100 table wine brands and is a premium wine company. In Canada, it has six of the 25 table wine brands and the Icewine brand with Inniskillin. The Company and Modelo indirectly each have an equal interest in Crown Imports, which has the exclusive right to import, market and sell the Modelo Brands, which include Corona Extra, Corona Light, Coronita, Modelo Especial, Pacifico and Negra Modelo, as well as the St. Pauli Girl and Tsingtao brands in all 50 states of the U.S. In the U.S., the Company operates 18 wineries where wine is produced from many varieties of grapes grown mainly in the Napa, Sonoma, Monterey and San Joaquin regions of California. The Company also operates nine wineries in Canada, four wineries in New Zealand and five wineries in Italy. Constellation Wines and Spirits' wine competitors include: E&J Gallo Winery, The Wine Group, Treasury Wine Estates, W.J. Deutsch & Sons, Ste. Michelle Wine Estates and Kendall-Jackson. The Company is subject to environmental laws and regulations, and may be required to obtain environmental and alcohol beverage permits and licenses to operate its facilities.
