Business Description

Summer Infant, Inc. was incorporated in Delaware. The Company changed its name to Summer Infant, Inc. and SII changed its name to Summer Infant (USA), Inc. Thus, the Company is now a holding company called Summer Infant, Inc. operating through its wholly-owned subsidiaries, Summer Infant (USA), Inc., Summer Infant Europe, Limited, and Summer Infant Asia, Ltd. The Company is a designer, marketer, and distributor of branded juvenile health, safety and wellness products which are sold mainly to large North American and United Kingdom retailers. It currently market proprietary products in various product categories including nursery audio/video monitors, safety gates, durable bath products, bed rails, infant thermometers, related health and safety products, booster and potty seats, cribs, baby gear, bouncers, feeding items, and swaddling blankets. In North America its products are sold mainly to retailers including Babies R Us, Target, KMart, Wal-Mart, Buy Buy Baby and Amazon.com. Its largest European-based customers are Mothercare, Toys R Us, Argos and Tesco. The Company maintains sales, marketing and distribution offices in England, which service the United Kingdom and other parts of Europe, and in Canada. It maintains through its Hong Kong subsidiary a product development, sales, engineering and quality assurance office in Hong Kong. Its business has grown organically in all of its markets. It derives its revenues from the sale of health, safety and wellness products for infants and toddlers. The Company's direct competitors are Dorel Industries, Evenflo, Kid Brands, Inc., Fisher-Price, The First Years and Graco. In addition, it competes in certain of its product lines with a number of private companies, such as KidCo, Inc. and Munchkin. The Company is subject to Section 203 of the Delaware General Corporation Law, which, in general, imposes restrictions upon acquirers of 15% or more of its stock.
